Business Law

Starting and running a successful business requires skill, stamina, and passion. Keeping a business running requires access to resources, including the guidance of a good business Attorney.

Since 1978, I have been representing business throughout Connecticut, always striving to find practical solutions to often times complex problems.  To accomplish this, first it is important to understand the particular needs of the client’s business from both a business and legal standpoint.

My office provides representation in all facets of commercial and business law, including:

Business Formation: Assisting entrepreneurs select the proper business entity for their type of business and risk tolerance level. Are you considering a business partnership? A limited liability corporation (LLC)? An S-Corp or C-Corp?  Understanding the pros and cons of each type of business entity is imperative to  choosing the best type for you. In addition to explaining the foregoing, I can also prepare and file all required documents including articles of incorporations, bylaws, and partnership agreements.

Business Contract Law: The success of your new business will be dependent upon a variety of contracts that structure your commercial transactions.  I advise business owners on all matters relating to their legal and commercial transactions, and can draft all necessary documents including:

  • Operating agreements, corporate resolutions, and other corporate governance documents
  • Purchase and sale agreements
  • Vendor and customer contracts
  • Independent contractor and subcontractor agreements
  • Employment contracts
  • Promissory notes and guarantees
  • Commercial property leases
  • Shareholder agreements

Business Dissolution: When your business has run its course, I can help you end a partnership or dissolve a corporation or LLC, resolving issues of money and control. Allow my office to work with you or your management team to resolve your business concerns.

Business Litigation:  In addition I represent both individuals and business entities regarding Litigation including Contract Breaches & Disputes; Business Torts (fraud, Conversion, Misrepresentation, Interference with Contract), Unfair & Deceptive Trade Practices; Disputes Between Owners.

I recognize that virtually any business transaction can have serious financial implications and the survival of a company often hinges on the successful outcome of a business dispute. And while I pride myself on the ability to succeed in the courtroom, I understand that effective representation means different things to different clients, and that success is often relative to the amount it costs to achieve the result.  For this reason, I always consider the cost-benefit of a particular course of action and continually re-evaluate the proper plan of attack as the matter progresses, always keeping the client informed and involved in the ultimate decision as to the proper course of action to pursue.

As a skilled negotiator I often strive resolve business disputes before they escalate into full blown fights. But if litigation is the only option, I am  prepared to do so vigorously.  In such event, your litigation matter will be carefully managed from the initial pleadings through discovery, settlement negotiations, and trial in a manner that is both cost-effective and reflective of your goals.
